Partner Programme Terms

These terms apply between LEADRESTORE LTD (company number 17401203) and each approved LeadRestore Partner. They supplement the main LeadRestore Terms and apply when the Partner accepts them in the Partner Dashboard.

Founding Partner commercial terms: 50% of successfully collected subscription revenue for each approved referred customer’s first 12 paid months, subject to these terms.

1. Approval and relationship

Participation is by written approval from LeadRestore. The Partner acts as an independent contractor and is not an employee, agent or representative authorised to bind LeadRestore. Approval is personal to the approved Partner or business and may not be transferred.

2. Referral attribution

The Partner must use the unique referral route shown in the Partner Dashboard. A prospect who starts through that route may be attributed to the Partner if the prospect becomes a paying customer within 90 days. LeadRestore’s server-side records determine attribution. Duplicate, self, fraudulent, pre-existing or incorrectly attributed referrals may be rejected or reviewed.

3. Commission

For each approved referred customer, Founding Partner commission is 50% of subscription revenue successfully collected and kept by LeadRestore for that customer’s first 12 paid subscription months. Commission does not arise on failed, free, refunded, reversed, disputed, charged-back or fraudulent payments, taxes, credits or goodwill adjustments. Each customer has a separate 12-paid-month clock.

4. Review and payout

New commission remains pending during a 14-day refund review window. Subject to review, approved commission is paid monthly within 15 business days after month end. During the Founding phase, payments are made manually using payout details agreed directly with LeadRestore. The Partner is responsible for providing accurate details and for their own tax, accounting and reporting obligations. There is no minimum payout threshold for the Founding 25.

5. Promotion and disclosure

The Partner must make the commercial relationship clear wherever required, including using a prominent “Ad”, “Advertisement” or equivalent affiliate disclosure appropriate to the channel. Promotions must be accurate, lawful and consistent with the approved Starter Kit. The Partner must not claim guaranteed revenue, sales, replies or results; imply automatic customer messaging; use unapproved testimonials; or omit significant pricing or offer limitations.

6. Prohibited activity

The Partner must not use spam, unlawful direct marketing, misleading advertising, brand bidding without written approval, cookie stuffing, false identities, impersonation, self-referrals, fabricated transactions or incentives that hide the commercial relationship. The Partner must respect third-party platform rules, intellectual-property rights and applicable advertising, privacy and electronic-marketing requirements.

7. Brand and materials

LeadRestore grants a limited, revocable, non-exclusive permission to use approved Partner Starter Kit materials solely to promote LeadRestore during active participation. The Partner must not alter LeadRestore marks in a misleading way or register confusingly similar names, domains or accounts.

8. Dashboard and confidentiality

The Partner must keep account credentials secure. Dashboard data is confidential and may include pseudonymous customer references and commercial records. Partners receive no right to customer contact details, uploaded lead data, messages, notes or billing credentials.

9. Adjustments, disputes and records

LeadRestore may place entries on hold or reverse commission where a payment is refunded, disputed, duplicated, fraudulent or otherwise not retained. Questions about an entry should be raised within 30 days of it appearing in the dashboard. LeadRestore will keep an audit record and review disputes reasonably.

10. Suspension and termination

Either party may end participation by written notice. LeadRestore may suspend links or access immediately for suspected fraud, misleading promotion, security risk or material breach. Properly earned and approved commission before termination remains payable, but no new referrals will be accepted after a link is disabled. Terms already attached to valid existing referrals will not be retrospectively reduced.

11. Changes

LeadRestore may update these terms for future referrals or future partner cohorts. A material change will be shown in the dashboard and may require fresh acceptance. Changes will not retrospectively reduce the agreed commission window for an already-approved referral.

12. Liability and law

Nothing excludes liability that cannot lawfully be excluded. Subject to that, neither party is liable for indirect or consequential loss. LeadRestore does not guarantee referral traffic, conversion or earnings. These terms are governed by the laws of England and Wales and the courts of England and Wales have jurisdiction.
